Agreement for Subscription to GuideStar Analyst Reports

Please note that subscriptions are non-refundable

This Agreement sets forth the terms and conditions under which GuideStar USA, Inc. ("GuideStar") grants Subscribers a right to access GuideStar Analyst Reports ("Reports").

If you purchase a Subscription, you agree to the terms and conditions set forth in this document.

  1. A "Subscriber" is a person or entity that purchases a Subscription to the GuideStar Analyst Reports. A "Subscription" is the right to access GuideStar Analyst Reports for the period specified in the Shopping Cart.
  2. GuideStar grants to Subscriber a non-exclusive, non-transferable right of limited use and possession to GuideStar Analyst Reports ("Reports").
  3. This Agreement authorizes as many Subscriptions as are specified in the Shopping Cart.
  4. Each Subscription is for a single user license only. Subscriber agrees not to share, sell, rent or otherwise transfer this Subscription to any other person or entity.
  5. Subscriber agrees to pay the price indicated in the Shopping Cart for the number of Subscriptions ordered.
  6. The Reports are protected by copyright and/or other intellectual property laws, and any unauthorized use of the Reports may violate such laws. Except as expressly provided herein, GuideStar does not grant any express or implied rights under any patents, copyrights, trademarks, or trade secret information with respect to the Reports.
  7. Except as otherwise indicated in this document or in a separate Agreement, Subscriber may view, download, and print Analyst Reports or an excerpt from a Report, subject to the following conditions:
    1. GuideStar must be given credit as the source of each Report.
    2. The Report may be used for informational, internal, non-commercial, or analytical purposes in a manner that is consistent with the fair use provisions of United States law.
    3. The Report may not be modified, altered, or re-engineered in any way.
    4. The Report may not be redistributed.
    5. Subscriber shall not transmit electronically, copy, extract, summarize, or otherwise use the Report in a manner that competes with GuideStar's distribution of the Reports.
    6. Subscriber shall not use the Reports to make any data compilations to be sold, lent, or distributed to a third party.
    7. All rights not explicitly granted to Subscriber remain with GuideStar.
  8. All information is provided "as is" without warranty of any kind. GuideStar does not make any representations as to the accuracy or integrity of the information. It disclaims all express, implied, and statutory warranties of any kind, including warranties as to accuracy, timeliness, completeness, merchantability, or fitness for any particular purpose.
  9. GuideStar will not be liable for any indirect, incidental, consequential, special, punitive, or other damages of any kind incurred as a result of the information in the Reports. In no event shall GuideStar be liable for any direct damages in excess of the amount expended under this Agreement.
  10. This Agreement shall be governed by the laws of the Commonwealth of Virginia.
  11. This Agreement will remain in effect for the term specified in the Shopping Cart. If you have downloaded or copied a Report pursuant to Paragraph 7 above, you agree to abide by the provisions concerning the use of the Report as long as you have possession of that Report.
  12. By using Analyst Reports, you are expressly agreeing that we are permitted to bill you a subscription fee. The subscription fee will be billed at the beginning of your subscription and on each renewal thereafter unless and until you cancel your subscription. Monthly and Annual Subscriptions Only (does not apply to 24-hour Subscriptions): As used in these Terms of Use, "billing" shall indicate a charge against the credit card number you provided when you subscribed to Analyst Reports. Your subscription will automatically renew, without prior notice to You, unless and until You cancel your subscription or we terminate it. You must cancel Your subscription before it renews in order to avoid billing of the next renewal subscription fees to Your credit card. We will automatically charge your credit card at the start of each renewal period, unless you terminate or cancel your subscription before the relevant renewal period begins. Each time you use our Fee-Based Products you reaffirm your agreement that we may charge your credit card. We reserve the right to change Fees and terms of this Agreement for any renewal term, and will give You prior written notice of any such changes. In the event we cannot charge your account, we reserve the right to terminate your access to Analyst Reports.
